Shelf Made CPG Terms of Use

Binding Effect

This is a binding agreement. By using the website located at https://www.shelfmadecpg.com (the “Site” or “Service”) or any services provided in connection with the Site, you agree to abide by these Terms of Use (the “Terms”), as they may be amended by Shelf Made CPG (“Company”) from time to time. The Company will post a notice on the Site any time these Terms are updated.

Privacy Policy

Shelf Made CPG respects your privacy and permits you to control the treatment of your personal information. A complete statement of the Company’s current Privacy Policy can be found by clicking the “Privacy” link at the bottom of the page. The Privacy Policy is expressly incorporated into this Agreement by reference.

Governing Law

These Terms shall be construed in accordance with and governed by the laws of the United States and the State of California, without reference to their rules regarding conflicts of law. You hereby irrevocably consent to the exclusive jurisdiction of the state or federal courts in California for all disputes arising out of or related to the use of the Site

Age Restriction

The Site is intended for users aged 18 or older. Individuals under the age of 18 are prohibited from using the Site, and any accounts created by such individuals will be terminated upon discovery. By using the Site you represent and warrant that you are: (a) of legal age (18 years of age or older), and (b) have sufficient legal capacity to agree to these Terms. If you are agreeing to these Terms on behalf of an entity, you represent and warrant that you are authorized to agree to these Terms on that entity’s behalf and bind them to these Terms. You represent and warrant that you have read, understood and agree to abide by these Terms and that you have read and understand the data collection and use practices set forth in the Privacy Policy. You acknowledge that you are not authorized to use the Site if you cannot make these representations.

Use of Software

The Company may make certain software available to you from the Site. If you download software from the Site, the software, including all files and images contained in or generated by the software, and accompanying data (collectively, “Software”), is deemed to be licensed to you by the Company for personal, non-commercial, nonexclusive, non-transferable use only. The Company retains full and complete title to the Software and all intellectual property rights therein. You acknowledge, represent and warrant that you must create your own account and must not make the Site available in any manner to any third party, including your employees, agents, and contractors. You acknowledge, represent and warrant that you are solely responsible for all activities undertaken by you in connection with use of the Site, including but not limited to activities undertaken by users who gain access to your account.  You are solely responsible for maintaining the security and privacy of your account and password and you will indemnify, defend and hold Shelf Made harmless for activities undertaken by any user of your account.  You acknowledge, represent and warrant that You may not transfer rights associated with these Terms. You may not sell, redistribute, decompile, reverse-engineer, or otherwise disassemble the Software.

User Content

By posting, uploading, or submitting content (“User Content”) to the Site, you grant the Company a worldwide, non-exclusive, royalty-free license to use, copy, distribute, and display the User Content in connection with the operation of the Site. You represent and warrant that you own the rights to the User Content or are otherwise authorized to post it. You agree that the Company may publish your name in connection with your User Content.

Compliance with Laws

You agree to use the Site in compliance with all applicable state and federal laws and not to use the Site for any illegal purposes. You agree to respect the intellectual property rights of others while using the Site. You may not upload, download, display, or distribute any content in violation of third-party intellectual property rights. The burden of proving that any content does not violate any laws or third-party rights rests solely with you.

Prohibited Content

You agree not to post or distribute any content that is defamatory, obscene, abusive, or otherwise unlawful. The Company reserves the right to terminate your account or access to the Site for violations of these terms.

Copyright Infringement

The Company complies with the Digital Millennium Copyright Act (DMCA) and has established procedures for reporting copyright infringement. Visit the “DMCA Policy” link at the bottom of the Site for more information.

Account Termination for Violations

The Company reserves the right to terminate your account or access to the Site if it believes you have violated these Terms of Use or provided false information.

No Warranties

The Site is provided “AS IS,” without warranty of any kind. The Company disclaims all warranties, including implied warranties of merchantability and fitness for a particular purpose. Use of the Site is at your own risk.

Limited Liability

The Company’s liability to you is limited. To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Site.

Educational Materials and Templates

The educational materials, templates, tools, and resources provided by Shelf Made CPG are for personal use only. You may not share, resell, or redistribute them without prior written consent from the Company. These materials are provided for informational purposes only and do not guarantee specific business outcomes.

Coaching and Consulting Services

Shelf Made CPG’s coaching and consulting services are advisory in nature and do not constitute legal, financial, or business guarantees. Results depend on individual implementation and circumstances. Cancellation or rescheduling of coaching sessions must be made at least 24 hours in advance to avoid forfeiture.

No Warranty / Indemnity

YOU EXPRESSLY AGREE THAT USE OF THE SERVICE AND ANY MATERIALS OR INFORMATION PROVIDED IS AT YOUR SOLE RISK ON AN "AS IS" AND "AS AVAILABLE" BASIS. SHELF MADE CPG EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.  SHELF MADE CPG MAKES NO WARRANTY ON ITS SERVICE, OR REGARDING ANY SERVICES OBTAINED THROUGH THE SERVICE OR ANY TRANSACTIONS ENTERED INTO THROUGH THE SERVICE. SHELF MADE CPG MAKES NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE. SHELF MADE CPG MAKES NO WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE OR AS TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE. SHELF MADE CPG ASSUMES NO RESPONSIBILITY FOR THE DELETION OR FAILURE TO STORE ANY DATA OR OTHER INFORMATION PROVIDED BY YOU ON THE SERVICE.

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL SHELF MADE CPG, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES, INCLUDING, ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

You further agree to indemnify, defend, and hold harmless Shelf Made CPG, its directors, officers, employees, and agents from and against all losses, expenses, damages, and costs, including reasonable attorney fees, arising out of or relating to use of the Site by you or any other person accessing the Site using your user name and password. You agree that regardless of any statute, regulation, or law to the contrary, any claim or cause of action arising out of or related to use of the Site or the Terms must be filed within one (1) year after such claim or cause of action arose otherwise You shall be forever barred. If you misuse the Site or services, you also agree to indemnify, defend and hold harmless Shelf Made CPG for claims and damages incurred to it and/or third parties. You are solely responsible for defending any claim, and for payment of damages or losses resulting from the foregoing.

Subscription Policy

Shelf Made CPG offers the following subscription options:

Community Membership: Users will be charged a one-time payment of $999 upon joining, followed by $299 per month. Subscriptions will renew automatically each month unless canceled by the user.

Group Chat Membership: Users will be charged $49 per month. This subscription will renew automatically each month unless canceled by the user. This subscription will renew automatically unless canceled by the user.

Cancellation Policy: Subscriptions can be canceled at any time through the user’s account settings. No refunds will be provided for the current billing cycle. Cancellations must be made at least 24 hours before the next billing date to avoid being charged for the subsequent month.

Refund Policy

All sales of courses, templates, coaching sessions, and other digital resources are final and non-refundable, except where required by law. If you have questions about your purchase, please contact us at info@shelfmadecpg.com.

Community Interaction Guidelines

Shelf Made CPG uses a subscription model hosted on Circle to provide access to its community, coaching, and resources. By participating in the community, you agree to:

·      Respectful communication with other members.

·      Avoid spamming, harassment, or sharing inappropriate content.

·      Comply with all applicable rules outlined by the Company.

·      Failure to adhere to these guidelines may result in suspension or termination of access.

Force Majeure

Shelf Made CPG is not liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, internet outages, or governmental actions.

Intellectual Property

All content provided by Shelf Made CPG, including courses, templates, and resources, remains the intellectual property of the Company. Users are granted a limited, non-exclusive license for personal use only and may not replicate or distribute the materials without prior written permission.

Data Retention Policy

We retain personal data only as long as necessary to provide our services or comply with legal obligations. User data will be deleted upon request unless retention is required by law.
